Commercial Aviation Finance

Commercial Aviation Holding Company Finance

SPV structures, Isle of Man and Irish AOC financing, and group aviation finance.

Many commercial aviation operations are structured with aircraft held in special purpose vehicles (SPVs) or holding companies that lease to the operating AOC entity. This structure is common for tax efficiency, liability management, fleet portfolio management and capital market access. Finance for SPV-based commercial aviation structures requires lenders who understand and accept these structures - and a broker who can present them clearly.

Isle of Man and Irish Republic registered aircraft structures are used by UK-adjacent commercial operators seeking to access a different regulatory environment or AOC. Isle of Man Aviation Registry (M-registration) is particularly popular for ACMI operators and aircraft lessors. Irish registration (EI-reg) with an Irish AOC is used by operators with Pan-European traffic rights. Finance in these jurisdictions requires UK lenders comfortable with M-reg or EI-reg security, or local lenders in those markets.

Group commercial aviation finance - where a parent company has multiple aviation subsidiaries, potentially in different jurisdictions - requires a lender capable of assessing the consolidated group position rather than individual entity performance. HSBC, Barclays and Investec have the most experience with group commercial aviation finance structures.

DBF works with commercial operators and their corporate advisers to structure aviation finance that is coherent with the wider group structure, tax planning and capital allocation framework. We are not tax advisers, but we understand the finance implications of different ownership structures and can ensure the finance strategy is compatible with the overall group approach.

FAQs

Frequently asked questions

Can an SPV borrow to acquire an aircraft and lease to an AOC holder?

Yes. SPV acquisition finance with a lease to an operating AOC entity is a standard commercial aviation finance structure. Lenders take security over the aircraft and an assignment of the lease. The AOC holder's covenant is assessed alongside the SPV's.

Can I finance an Isle of Man registered aircraft with a UK lender?

Some UK lenders will accept M-registered aircraft as security. Others prefer G-registration. DBF knows which lenders accommodate M-reg security and can identify the best option for your Isle of Man structure.

What is the benefit of using an SPV for aircraft ownership?

SPVs provide asset-level ring-fencing, easier refinancing and transfer of individual aircraft, and potential tax advantages depending on jurisdiction. They also simplify aircraft financing by separating the asset from the operating business. Corporate advisers can provide specific tax and legal advice.

Can group accounts support commercial aviation finance applications?

Yes. Group consolidated accounts can support finance applications where the individual subsidiary's accounts are insufficient on their own. Group guarantees from a parent company may also be available to support the credit profile.

Is Isle of Man or Irish AOC finance significantly different from UK?

The regulatory framework is different - different CAA (Isle of Man DfE, Irish Aviation Authority) - but the commercial finance principles are similar. Lenders familiar with these jurisdictions are available through DBF. Local jurisdiction specialist lenders may also be appropriate.

Asset finance for business purposes is not regulated by the FCA. Rates shown are indicative as at October 2026 and depend on credit profile, term, aircraft and deposit. We act as a credit broker, not a lender. Your aircraft may be repossessed if you do not keep up repayments.
