Helicopter Part-Ownership and Syndicate Finance

Owning a helicopter outright is beyond the financial reach of many pilots - but sharing ownership through a syndicate can make it entirely practical. A two- or three-person syndicate on a Robinson R44 can deliver ownership costs per person that are comparable to regular hire charges, but with the freedom, availability and pride of ownership that comes with owning your own aircraft.

The financial mechanics are straightforward: each syndicate member contributes their share of the deposit, the monthly finance payment and the ongoing running costs (maintenance, insurance, hangarage, fuel). In exchange, each member has a guaranteed allocation of flying time under the syndicate agreement. The aircraft is held in an SPV that all members co-own through their shareholding.

Financing a syndicate helicopter requires the SPV to make the loan application, typically backed by personal guarantees from the main shareholders. Lenders assess the combined financial strength of the guarantors rather than any single individual - which can actually work in the syndicate's favour if members have complementary financial profiles.

Setting Up a Helicopter Syndicate

Incorporate an SPV

Register a limited company to own the helicopter. Set up the shareholding to reflect each member's ownership percentage. Appoint directors and open a business bank account for the SPV.

Draft a Syndicate Agreement

A syndicate agreement should cover scheduling, maintenance decisions, insurance requirements, what happens if a member wants to sell their share, and how disputes are resolved. A solicitor familiar with aviation syndicate structures should prepare this.

Arrange Finance

The SPV applies for hire purchase or finance lease in the company name. Directors provide personal guarantees. Each member contributes their share of the deposit. We handle the lender approach on your behalf.

Register and Insure

The SPV registers the helicopter on the UK G-register. Aviation hull and liability insurance is taken out in the SPV's name, covering all syndicate members as named pilots. Lenders require evidence of adequate insurance before drawdown.

FAQs

Frequently asked questions

Can a helicopter syndicate get finance?

Yes. Helicopter syndicates can obtain finance, though the legal structure of the syndicate matters significantly to lenders. The most lender-friendly approach is to hold the helicopter through a limited company (SPV) in which all syndicate members hold shares proportionate to their ownership stake. The SPV then applies for finance in the company name, with members providing personal guarantees if required. This avoids the complications of lending to an unincorporated partnership or joint tenancy and provides clear, registered security for the lender.

How does a helicopter syndicate work legally?

A helicopter syndicate is a formal or informal arrangement under which two or more individuals share the ownership costs and flying time of a single helicopter. Legally, the most robust structure is an incorporated SPV (a limited company) that owns the aircraft and issues shares to each syndicate member in proportion to their agreed contribution and flying entitlement. A syndicate agreement sets out the rules for scheduling, maintenance decisions, insurance, sale of shares and resolution of disputes. Informal joint ownership without a company structure is possible but creates more risk and complexity for financing.

What is the minimum number of members in a helicopter syndicate?

There is no legal minimum for a helicopter syndicate - two people can share a helicopter just as easily as ten. In practice, most private helicopter syndicates have 2–5 members. Larger syndicates can work but require more sophisticated scheduling systems and a clearer governance structure to manage competing demands on flying time. For finance purposes, a two- or three-member syndicate through an SPV is the cleanest and most lender-friendly structure.

Which lenders will finance a helicopter syndicate?

Most specialist aviation lenders will consider financing a helicopter held in an SPV structure for a syndicate, provided the application is properly presented. Close Brothers Aviation, Lombard (NatWest Group) and Shawbrook Bank are among the lenders with experience in syndicate and joint-ownership structures. The key is that the SPV has clear ownership, proper governance documents (articles, syndicate agreement, shareholder agreement) and that the personal financial profiles of the key shareholders are strong enough to support director guarantees.

What deposit does a helicopter syndicate need?

Helicopter syndicates typically need to provide a deposit of 20–30% through the SPV. The deposit is usually contributed by the syndicate members in proportion to their ownership share. A combined deposit of 25% across, say, three members on a £300,000 helicopter means each member contributing £25,000 - significantly less than the full deposit required for individual ownership. This is one of the key financial attractions of syndicate ownership.
